Coverage: official or government-published developments identified from 12 August 2025 through 29 May 2026, with the MCA portal status checked through August 2026.
1. Director KYC changed to a three-year cycle
MCA's government press release states that the relevant rules were amended on 31 December 2025, with effect from 31 March 2026. The annual KYC requirement was replaced by an abridged KYC intimation once every three years. The revised form can be used for KYC compliance, updating mobile number, email address or residential address, and DIN reactivation. The release states that directors who had completed KYC would next be due by 30 June 2028; directors who had not filed could use the existing reactivation route until 31 March 2026.
2. Companies Compliance Facilitation Scheme, 2026
MCA introduced CCFS-2026 as a one-time compliance window for eligible companies to regularise overdue annual returns and financial statements and, where applicable, pursue dormancy or closure. The scheme is not a universal waiver: eligibility, forms, periods, conditions, additional fee treatment and the operative deadline must be checked against the current MCA circular and portal. Companies should not assume that filing one form cures every director, charge, registered-office, beneficial-ownership or other default.
3. ROC and Regional Directorate reorganisation
A PIB release dated 31 December 2025 announced that three new Regional Directorates and six new Registrars of Companies would open from 16 February 2026. The release described the split of the Northern Region and the creation of the relevant offices and jurisdictions. Companies with pending applications, adjudication, strike-off or correspondence should verify the applicable ROC on the MCA portal before submitting or replying.
4. Compliance discipline remains essential
MCA's August 2025 government release described reforms covering online adjudication, fast mergers, overseas listing and simplified registration. These policy developments do not replace routine annual filing. Maintain a compliance calendar for financial statements, annual return, director KYC, registered office, charges, beneficial ownership, CSR and event-based forms as applicable to the entity.
